Terms of service

Last updated

These terms apply when you use vibetron.com or the client portal, subscribe to one of our packages or hire VibeTron Inc. ("VibeTron", "we", "us") for a project. By using the site or our services, you agree to them. If you are agreeing on behalf of a business, you confirm you are authorized to do so.

Our services

What we deliver is described in the package and add-ons you choose on our pricing page, or in the proposal, statement of work or agreement for your project. If one of those documents conflicts with these terms, the document signed or accepted for your project wins.

Your account

Give us accurate information and keep it up to date. Keep your password safe and don't share your account; you're responsible for what happens under it. We recommend turning on two-factor authentication. You can invite colleagues to your company's account, and you're responsible for their use of it.

Packages and billing

  • Billing: packages are billed in advance for the term you choose: monthly, quarterly (7% off) or annual (15% off). The first period starts on the day you subscribe and each term renews on the same day. Promotional and AI automation packages are billed monthly.
  • Add-ons and setup: monthly add-ons are billed with your package every term. A package's setup fee and any one-time add-ons are billed once, on your first invoice. Annual terms have no setup fee.
  • Renewal: your package renews automatically, and you authorize us and our payment processors to charge your chosen payment method each period until you cancel.
  • Cancelling: you can cancel at any time in the portal or by contacting us. Cancellation takes effect at the end of the current billing period, and you keep the service until then. There is no cancellation fee and no long-term contract.
  • Refunds: we don't refund partial terms unless the law requires it. Our cancellation and refund policy has the details.
  • Changing packages: you can move to a different package in the portal. Monthly add-ons carry over when the new package offers them. With card or bank payments the difference is prorated; with PayPal you approve the change in PayPal.
  • Prices: if we change the price of your package or add-ons, we'll tell you in advance, and the new price applies from your next billing period after the notice. You can cancel before it applies.
  • Failed payments: if a payment fails we'll let you know and retry. If it stays unpaid, we may pause work until it's settled.

Project work

Websites, apps, automations and other projects are billed as set out in your proposal or agreement: a fixed price, time and material at an agreed hourly rate, or by milestone. Invoices are due by the date shown on them. Work outside the agreed scope is quoted separately and only starts once you approve it.

Payments

We accept credit and debit cards, Apple Pay, Google Pay and ACH bank transfers through Stripe, and PayPal. Prices are in US dollars and don't include taxes, which we add where the law requires. Payment processors' own terms also apply to your payments.

Your part

Good work depends on timely input. Please give us the access, content, information and approvals we ask for. If a delay on your side holds up the work, deadlines move accordingly. You confirm that you have the rights to everything you give us to use, such as logos, photos and text, and that it doesn't break anyone else's rights or the law.

Results

We use proven methods and report honestly on what we do, but search engines, social networks and ad platforms are outside our control and change often. We can't guarantee specific rankings, traffic, leads or sales.

AI assistants and automations we set up can make mistakes. You review and approve what they say before they go live, and you remain responsible for the information and offers given to your customers.

Ownership of the work

Once you've paid in full, you own the deliverables we create specifically for you, unless your proposal says otherwise. We keep ownership of our own tools, templates, code libraries and know-how, and you get a licence to use any of them that are part of your deliverables. Third-party software, fonts, stock media and platforms remain under their own licences. We'll only show your project in our portfolio with your permission.

Third-party services

Many services depend on third parties, such as hosting providers, Google, Meta, app stores and AI providers. Their terms apply to your use of them, and we aren't responsible for their outages, policy changes or decisions, such as rejecting an ad or an app.

Acceptable use

Don't use our site, portal or services to break the law, send spam, infringe anyone's rights, upload malware, try to get around security or access accounts that aren't yours. We may refuse work that would.

Confidentiality

We keep your business information confidential and use it only to provide our services. We'll sign a separate confidentiality agreement if your project needs one.

Disclaimers and limits on liability

To the extent the law allows, the website is provided as is, and we're not liable for indirect or consequential losses such as lost profits or lost data. Our total liability for any claim relating to our services is limited to the amount you paid us for the service concerned in the 12 months before the claim. Nothing in these terms limits liability that can't be limited by law.

Ending the relationship

You can stop using our services at any time, as described above for plans and in your agreement for projects. We may suspend or end services if invoices go unpaid or these terms are seriously broken, after telling you and giving you a reasonable chance to fix the problem where possible. You pay for work done up to the end date.

Governing law

These terms are governed by the laws of the State of California. Any dispute will be handled by the state or federal courts located in Los Angeles County, California.

Changes to these terms

We may update these terms. We'll post the new version here with a new date and, for significant changes, tell clients by email or in the portal before they take effect.
